1. Definitions

In these Terms & Conditions:
 "Mastex", "we", "our", or "us" refers to Mastex Corporation Pty Ltd (ABN: 87 643 079 476).
 
"Client", "you", or "your" refers to any person, company, or entity purchasing goods from Mastex.
 
"Products" refers to goods supplied by Mastex, including but not limited to mechanical keyboards, accessories, and workspace solutions.
 
"Reseller" means a Client who has been approved by Mastex to distribute our products under a wholesale agreement.

2. Application of Terms

These Terms & Conditions apply to all sales of goods and related services by Mastex. By placing an order, registering an account, or using our services, you agree to be bound by these Terms.

Mastex reserves the right to update or amend these Terms at any time without notice. Changes take effect immediately upon publication on our website.

3. Orders & Account Registration

 All orders are subject to acceptance by Mastex.
A confirmed order constitutes a binding contract between the Client and Mastex.
 
Resellers must complete a formal application and be approved before accessing wholesale pricing or marketing assets.
 
Mastex reserves the right to refuse or cancel orders at its discretion.

4. Pricing & Payment

 Prices are listed in Australian Dollars (AUD) and are [inclusive/exclusive] of GST.
 Unless otherwise agreed in writing, full payment is required before dispatch.
 
Accepted payment methods: Bank transfer, Credit Card, PayPal.
 
Late payments may result in delivery delays, suspension of service, or interest charges.

5. Shipping, Delivery & Risk

 Mastex ships from its local warehouse in Victoria, Australia.
 Estimated delivery times are not guaranteed. Delays caused by third party couriers or force majeure events are not our responsibility.
 
Title to the goods passes to the Client upon full payment.
 
Risk in the goods passes upon dispatch from Mastex's facility.

6. Returns, Replacements & Warranty

 Returns for faulty or incorrect goods must be requested within 14 days of receipt.
 Returned goods must be unused and in original packaging.
 
Change of mind returns are not accepted for B2B transactions unless agreed in writing.
 
All warranty claims must be supported by valid proof of purchase and may be subject to the brand's individual warranty policy.
 For all B2B return or warranty requests, Clients must contact the Mastex Warranty Team and provide the following: Mastex Invoice Number, Product SKU, Product Serial Number, Fault Description, and the Reseller RA Number (Return Authorisation).

7. Reseller Conduct & Restrictions

 Resellers must comply with Mastex's brand guidelines and not misrepresent or defame any associated brand.
 Unauthorized discounting, false advertising, or undercutting retail MAP (Minimum Advertised Price) may result in termination of reseller status.
 Resellers are not permitted to resell Mastex products on third party marketplaces (e.g., eBay, Amazon) unless authorised.

8. Intellectual Property

 All intellectual property on the Mastex website, including branding, product images, descriptions, and trademarks, remain the property of Mastex or its suppliers.
 No content may be reproduced or used without prior written permission.

9. Indemnity

The Client agrees to indemnify and hold Mastex harmless from any liability, loss, claim or expense (including legal fees) related to:
 Any misuse or misrepresentation of Products;
 
Breach of these Terms;
 
Negligence or misconduct by the Client or its representatives.

10. Limitation of Liability

To the fullest extent permitted by law:
 Mastex is not liable for any indirect, incidental, special, or consequential damages;
 
Liability is strictly limited to the replacement of goods or refund of purchase price.

11. Force Majeure

Mastex shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, supply shortages, transportation delays, or pandemics.

12. Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts in Victoria.

13. Dispute Resolution

In the event of a dispute, both parties agree to attempt to resolve the matter in good faith through negotiation. If unresolved, the dispute may proceed to mediation or arbitration in Melbourne, Australia.
